The essay examines the new allocation of powers between directors, liquidators and shareholders when a company accesses crisis and insolvency regulation instruments under Article 120-bis of the Italian Crisis and Insolvency Code and related provisions. The author starts from the exclusive competence granted to directors — and, where the company is in liquidation, to liquidators — both to decide whether to access a restructuring instrument and to determine the content of the proposal and plan, including any amendments to the articles of association, extraordinary transactions and measures affecting shareholders’ participation rights. This regime marks a significant departure from the former principle of organizational neutrality in insolvency proceedings and entails a substantial reduction of shareholders’ decision-making powers, justified by the need to prevent equity holders from unreasonably obstructing restructuring efforts. The essay then addresses the main practical issues raised by the new framework: disjunctive management, delegated powers, the role of liquidators, corporate groups, notarial form and publicity requirements, invalidity of derogating clauses, shareholders’ information rights and the stability of directors after access to the procedure. Particular attention is paid to the residual safeguards available to shareholders, including information duties, possible class voting, participation in restructuring value, withdrawal rights and competing proposals. The contribution thus reconstructs a new and problematic balance between managerial primacy, restructuring efficiency and the protection of shareholders’ economic interests.
